By accessing or using Chalio ("Platform," "we," "us," or "our") at chalio.co, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform. Chalio is a skill-based challenge competition platform where users post real personal challenges, pay an entry fee, and invite others to compete by predicting the outcome. All competitions are based on human skill, effort, and determination.
You must be at least 18 years of age to use Chalio. By using the Platform, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into a binding agreement, and that your use of the Platform does not violate any applicable law or regulation in your jurisdiction. Chalio reserves the right to refuse service to anyone at any time.
Chalio is a skill-based challenge competition platform where participants pay entry fees to compete in contests determined by human skill, effort and determination. Chalio does not create, endorse, sponsor, supervise, or have any involvement in the challenges posted by users. All challenges are created solely by individual users. Chalio serves only as a neutral technology platform that facilitates the posting of challenges, the collection and escrow of funds through Stripe, and the distribution of prizes following resolution. Chalio is not a gambling operator, casino, sportsbook, or regulated financial exchange. The Platform is intended for entertainment and accountability purposes only. Chalio operates an entry window system whereby each challenge remains open for entries for a defined duration set by the challenger. Once the entry window closes, no new entries are accepted. The challenger then performs the challenge live on their scheduled date and time. All entry fees are held in the user's Chalio balance, which is managed through Stripe.
All challenges on Chalio are skill-based competitions. The outcome of every challenge is determined solely by the skill, effort, determination and physical ability of the challenger — not by chance or random events. Chalio is a contest platform, not a gambling operator. Entry fees are paid to participate in skill-based competitions, and prizes are awarded to correct competition entries. Chalio operates under the skill competition exemption recognized in most US states, which distinguishes skill-based contests from games of chance. Additionally, Chalio offers a free prediction option on every competition, allowing anyone to participate without payment, consistent with the Alternative Means of Entry principle that further distinguishes this platform from gambling. The entry window duration is set by the challenger and represents the period during which other users may submit paid entries or free predictions. The challenger is responsible for performing the challenge after the entry window closes on the date and time they specified. Failure to perform the challenge after the entry window closes will result in the challenge being voided and all entries refunded in full.
Chalio operates as a skill-based prediction trading platform. Users trade shares representing the probability of a challenger successfully completing a real human performance challenge. Share prices are determined by an Automated Market Maker (AMM) algorithm that updates prices in real time based on trading activity. Each YES or NO share pays $1.00 upon correct resolution. Chalio charges a dynamic trading fee calculated using the formula described in Section 7B. The platform uses market pricing mechanics to enable skill-based assessment of human performance — the collective trading activity of informed participants produces real-time probability estimates based on observable challenger attributes including completion history, tier ranking, and publicly available personal information. Chalio is a skill-based competition platform, not a gambling operator. Trading outcomes are determined by the verified performance of real human challengers, not by chance or random events.
Challengers post a performance bond when creating a challenge. This bond establishes the challenger's initial YES position at the opening market price of 50¢. If the challenger successfully completes their challenge as verified by Chalio administration: (a) the challenger receives their full performance bond back; (b) the challenger receives a creator bonus equal to 2% of total trading volume generated by that challenge. If the challenger fails: (a) the performance bond is distributed pro rata to all NO position holders based on shares held; (b) YES position holders do not receive a return on their trade. The performance bond is held by Stripe and released only upon verified challenge resolution.
Users are solely responsible for the challenges they create, including the rules, proof requirements, and any activities involved. Chalio does not review, approve, or endorse any challenge before it is posted, except in cases where manual admin review is enabled. By posting a challenge, you represent and warrant that: (a) the challenge does not involve any illegal activity under applicable law; (b) the challenge does not constitute a threat to your life, the life of any other person, or the physical safety of any individual; (c) the challenge does not involve reckless endangerment, self-harm, consumption of dangerous substances in quantities that could cause death or serious injury, or any activity that a reasonable person would consider life-threatening; (d) the challenge does not violate the rights of any third party; (e) you have full legal authority to create and attempt the challenge; (f) you will make a genuine and honest attempt to complete the challenge and provide truthful proof of the outcome; (g) you will provide accurate personal information in your challenger profile including your About Me section, social media handles, age, location, and fun fact — all of which are displayed publicly to help competitors make informed decisions; (h) any social media handles you provide must be your own genuine accounts; (i) you understand that your challenger profile information including your About Me, why you will succeed, and what doubters should know sections are publicly visible to all users of the platform. Chalio reserves the right to remove any challenge at any time, for any reason, at its sole discretion.
When creating a challenge, challengers may optionally provide personal profile information including an About Me description, reasons why they expect to succeed, information for doubters, age, location, fun fact, and social media handles for Instagram, TikTok, Snapchat, Facebook, and YouTube. By providing this information you confirm: (a) all information is accurate and truthful; (b) any social media accounts linked are genuinely yours; (c) you consent to this information being displayed publicly on Chalio to help competitors make informed decisions about which side to join; (d) Chalio is not responsible for the content of any linked social media profiles. Chalio displays this information solely to help competitors exercise skill and judgment in their entry decisions, consistent with Chalio's skill competition model.
The following challenges are strictly prohibited on Chalio and will be removed immediately: any challenge that is designed to cause death or serious physical injury to any person; any challenge involving consumption of toxic, poisonous, or lethal substances; any challenge involving illegal weapons, explosives, or controlled substances; any challenge targeting or involving minors in any way; any challenge that constitutes harassment, threats, or coercion of another individual; any challenge involving non-consensual activities; any challenge that violates federal, state, or local law. Users who post prohibited challenges may be permanently banned and may be reported to appropriate law enforcement authorities.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT PARTICIPATION IN SKILL-BASED COMPETITIONS ON CHALIO INVOLVES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO PHYSICAL INJURY, FINANCIAL LOSS, EMBARRASSMENT, AND OTHER HARMS. BY USING THE PLATFORM AND CREATING OR PARTICIPATING IN ANY SKILL-BASED COMPETITION, YOU VOLUNTARILY ASSUME ALL SUCH RISKS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE CHALIO, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, OR CAUSES OF ACTION WHATSOEVER ARISING OUT OF OR RELATED TO ANY LOSS, DAMAGE, INJURY, OR DEATH THAT MAY BE SUSTAINED BY YOU OR ANY THIRD PARTY IN CONNECTION WITH YOUR USE OF THE PLATFORM OR PARTICIPATION IN ANY COMPETITION. THIS RELEASE APPLIES WHETHER THE LOSS OR INJURY IS CAUSED BY THE NEGLIGENCE OF THE RELEASED PARTIES OR OTHERWISE. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE." YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS SECTION AND FREELY AND VOLUNTARILY ENTER INTO THIS RELEASE.
Users maintain a Chalio balance which is funded through Stripe payment processing. Entry fees for challenges are deducted from the user's Chalio balance at the time of posting or joining a challenge. If a user has insufficient balance to post or join a challenge they must add funds to their balance before proceeding. The minimum deposit amount is $10. Chalio balances are held securely through Stripe. Users may request withdrawals at any time through the withdraw page. Chalio charges a 2% fee on winning prizes only — never on entry fees, losses, or refunds. The challenge proceeds on the scheduled live stream date regardless of whether the opposing side is fully matched. Challenger prizes are limited to whatever the opposing side actually raised minus the 2% Chalio fee. Competitors on the winning side win back exactly their entry amount minus the 2% Chalio fee — never more than what they put in. Unmatched entries on the challenger's side (YES entries beyond what the NO side raised) are refunded in full after challenge resolution regardless of outcome. If no entries exist on the opposing side and the challenger completes the challenge, the challenger's entry fee is returned in full. If no entries exist on the opposing side and the challenger fails, the challenger's entry fee is also returned since there is no opposing side to pay. All funds deposited on Chalio are processed through Stripe, a third-party payment processor. Chalio holds funds in a platform escrow balance and distributes them as prizes following competition resolution. Chalio charges a 2% platform fee on prize winnings only. Losing entries and refunded entries are never charged a fee. All matched entries are final. Chalio reserves the right to void any competition and issue full refunds at its sole discretion. Chalio is not a bank and does not pay interest on deposited funds. You acknowledge that Stripe's own terms of service and privacy policy apply to all payment processing.
The challenger sets an entry window duration of at minimum 1 hour. Once the entry window closes: (a) no new paid or free entries are accepted; (b) the challenger is obligated to perform the challenge on their stated live stream date and time; (c) failure to perform within 48 hours of the entry window closing without prior notice to Chalio will result in automatic void and full refund of all entries; (d) challengers who repeatedly fail to perform after closing entry windows may be suspended from the platform.
Chalio charges trading fees on challenge markets. Fees are calculated using the following formula: fee = C x p x feeRate x (p x (1 - p))^exponent. Where C is the number of shares traded, p is the price of the trade (between 0 and 1), feeRate is 0.03, and exponent is 1. For example, for a 100-share trade at a price of $0.50: fee = 100 x 0.50 x 0.03 x (0.50 x 0.50)^1 = approximately $0.38. The fee is highest when a share is priced at 50 cents, representing a 50% probability — the maximum effective fee rate is approximately 1.80% at this price point. As a share price approaches 0 cents or 100 cents, the fee decreases toward zero. Fees are rounded to 4 decimal places. Trades at extreme price points may incur no fee if the calculated amount rounds to zero. Users can view the exact fee for any trade before confirming it in the trade panel. Chalio does not charge any fees to deposit or withdraw funds. Deposit and withdrawal transactions are free of platform charges, though standard payment processing fees from Stripe may apply.
All disputes arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration on an individual basis, not as part of a class action, under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit. Notwithstanding the foregoing, either party may seek emergency equitable relief in a court of competent jurisdiction.
By using Chalio Live, challengers consent to the recording, storage, and display of their video on the Chalio platform. Recorded videos are used solely for challenge verification and are viewable by users who participated in the challenge. Chalio stores challenge recordings for a minimum of 90 days after challenge resolution. Videos recorded through Chalio Live cannot be edited or deleted by the challenger after submission. Chalio reserves the right to use challenge recordings for platform moderation and dispute resolution purposes.
By providing your mobile phone number on Chalio, you consent to receive SMS notifications about challenges you have joined, including notifications when a challenge goes live. Message and data rates may apply. You may opt out at any time by replying STOP to any SMS from Chalio or by updating your notification preferences in your profile settings. Chalio uses your phone number solely for challenge-related notifications and will never sell or share it with third parties.
TO THE FULLEST EXTENT PERMITTED BY LAW, CHALIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM. CHALIO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID BY YOU TO CHALIO IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Chalio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including but not limited to any challenge you create or participate in, any content you submit, or your violation of any rights of another.
Chalio reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the effective date at the top of this page. Your continued use of the Platform after any modification constitutes your acceptance of the new Terms.
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
